Terms and Conditions

Limitations of Liability and Indemnification.

• By using any services provided by VeraTicket.com, you agree that in no event will VeraTicket.com, VeraTicket, its and their officers, employees, agents, affiliates, licensees and web hosting services be liable for any direct or indirect, incidental, special or consequential damages as a result of your accessing the website and using any of the services available. Your sole remedy for any breach or default of this Agreement by VeraTicket.com or VeraTicket shall be a return of any fees paid to VeraTicket.com or VeraTicket for any services provided under this Agreement. You indemnify and agree to defend and hold harmless VeraTicket.com, VeraTicket, its and their officers, employees, agents, affiliates, licensees and web hosting services and third parties for any losses, costs, liabilities and expenses (including but not limited to court costs, legal fees, awards or settlements) relating to or arising out of your use of VeraTicket.com, including any breach by you of the Terms contained in this Agreement.

VeraTicket's Services.

• VeraTicket's Services provide a simple and quick means for Organizers/Clients to create speaker profiles, organizer profiles, and other webpages related to their events, promote those pages and events to visitors or browsers on the Services or elsewhere online, manage online or onsite ticketing and registration, solicit donations, and sell or reserve merchandise or accommodations related to those events to Consumers or other Users.
• VeraTicket is not the creator, organizer or owner of the events listed on the Services. Rather, VeraTicket provides its Services, which allow Organizers to manage ticketing and registration and promote their events. The Organizer is solely responsible for ensuring that any page displaying an event on the Services (and the event itself) meet all applicable local, state, provincial, national and other laws, rules and regulations, and that the goods and services described on the event page are delivered as described and in an accurate satisfactory manner. If an Organizer uses VeraTicket Payment Processing (as defined in the Merchant Agreement), VeraTicket also acts as the Organizer's limited agent solely for the purpose of using our third party payment service providers to collect payments made by Consumers on the Services and passing such payments to the Organizer.

Responsibility for Use of Website; Offensive Information; Code of Conduct.

• Warning re: Offensive Information.

  It is possible that other VeraTicket.com clients will post or send obscene or offensive materials on the site or to you via e-mail. It is also possible that by using your e-mail address, other people may, through other means outside the control of VeraTicket.com, have access to personal information about you. VeraTicket.com, VeraTicket, its employees, agents, affiliates, licensees and web hosting services are not responsible for these transmissions or for the release of such information by others about you.

• Code of Conduct.

  When using our Site and Services, you agree that you will not do any of the following:
• contact or invite contact with other VeraTicket users for any reason other than the purpose for which you received the VeraTicket user’s contact information or solicit sales outside of VeraTicket;
• use the Buyer's personal data for any reason other than the delivery of Tickets unless otherwise agreed to by the Buyer
• behave in an abusive manner to any VeraTicket employee or other user
• violate any venue or event promoter rules at events or violate any applicable third party terms of service (for instance, when using our mobile applications)
• breach or circumvent any laws (including, where Tickets are sold internationally, the laws of the destination country), third party rights or our Additional Policies
• post false, inaccurate, misleading, defamatory or libelous content
• fail to fulfill your contractual obligations regarding the sale or purchase of a Ticket
• use VeraTicket's trademarks without our prior written permission.
• copy, reproduce, reverse engineer, modify, create derivative works from, distribute or publicly display any content (except for your information) or software from our Siteor Services without the prior express written permission of VeraTicket and the appropriate third party, as applicable
• use any robot, spider, scraper or other automated means to access our Site or Services for any purpose without our express written permission
• take any action that imposes or may impose (to be determined in our sole discretion) an unreasonable or disproportionately large load on our infrastructure
• interfere or attempt to interfere with the proper working of our Site or Services or any activities conducted on or with our Site or Services
• bypass our robot exclusion headers, robots.txt rules or any other measures we may use to prevent or restrict access to our Site or Services
• commercialize any VeraTicket application or any information or software associated with such application
• export or re-export any VeraTicket application or tool except in compliance with the export control laws of any relevant jurisdiction and in accordance with posted rules and restrictions
• do anything else that VeraTicket determines, in its sole reasonable discretion, misuses the Site or Services or otherwise negatively impacts our marketplace.

In our effort to protect our Buyers and Sellers we may screen ticket sales or listings for signs of fraud using algorithms or automated systems, which may result in automatic cancellation of listings or sales and temporary or permanent suspension of accounts. If your transaction is canceled in error, or your account suspended in error, please contact us and we may reinstate your Account or listing, in our sole discretion.

Fees and Other Charges

• VeraTicket may charge fees for selling and/or buying Tickets through our Site and/or otherwise using our Services, as well as delivery or fulfillment fees (collectively referred to as "Service Fees"). Service Fees may vary depending on event type, Ticket type and location. VeraTicket may in its sole and absolute discretion change its Service Fees at any time, including after you list your Tickets. Any applicable Service Fees including any taxes if applicable will be disclosed to you prior to listing or buying a Ticket. VeraTicket may charge and/or retain Service Fees if you do not fulfill your contractual obligations under this User Agreement.
• If you as a Seller do not fulfill your contractual obligations under this User Agreement and the Seller Policies, VeraTicket may charge you certain fees and/or costs in accordance with the Seller Policies.
• If you as a Buyer change your postal address after you have purchased your Ticket(s) and require VeraTicket to deliver your Ticket(s) to this new postal address, or if you have specified an incorrect postal address, VeraTicket may charge you for any additional delivery costs which arise out of re-arranging the delivery of your Ticket(s) to the new or correct postal address. Such additional delivery costs may be charged to your Payment Method.
• All tickets on the Site are digital and must be accessed through the Site to gain entry. To enter an event, it is the responsibility of the Buyer to ensure they have a device that they can use to open the tickets on the day of the event.
• We may collect amounts owed using a collection agency or other collection mechanism and you may be charged fees associated with collecting the delinquent payments. VeraTicket, or the collection agency it retains, may also report information about your account to credit bureaus, and as a result, defaults in your account may be reflected in your credit report. If you wish to dispute the information VeraTicket reported to a credit bureau, please contact VeraTicket. If you wish to dispute the information a collection agency reported, contact the collection agency directly.

Selling Tickets

• You must comply with all applicable laws and regulations and the terms of this User Agreement when listing, selling and delivering your Tickets.
• When listing a Ticket you must set a price for which you are willing to sell your Ticket ("Sales Price"). You may modify (e.g. raise or lower the Sales Price) or delete your listing at any time until the Tickets have sold.
• By listing a Ticket for sale, you are making a binding offer to sell that Ticket to a Buyer who purchases the Ticket at the Sales Price. When a Buyer accepts your offer by purchasing your Ticket through our Site, you are contractually bound to deliver that exact Ticket for Sales Price and within the required delivery timeframe. You are obligated to monitor your inventory and ensure all listings are accurate. Under no circumstances may Sellers cancel orders at one price and repost the same tickets for a higher price. Failure to fulfill your orders will lead to charges as stated in this User Agreement and Seller Policies.
• VeraTicket does not guarantee that your tickets or related passes will sell or that your listing will appear on the Site within a certain time after it is posted or in a particular order on the event page or through search results. VeraTicket will not, for any reason, provide compensation for tickets that do not sell, even if it is due to Site unavailability from an outage or maintenance or listing delays.

Taxes.

• You as a Seller are responsible for determining whether any taxes are due on your sale of a Ticket, and for collecting and remitting such taxes, except where VeraTicket is required by law to calculate, collect, and remit sales tax on those sales. Any applicable taxes must be included in the Sales Price of your Ticket. You agree to provide VeraTicket with your Social Security Number or other tax identification number if necessary for VeraTicket to provide (without notice to You) information to the relevant tax authorities related to payments you receive from us and further authorize VeraTicket to release that information to the relevant tax authorities. The Service Fees include any applicable sales, use, excise, value added, service and other indirect taxes.

Buying Tickets.

• You are responsible for reading the complete listing before making a commitment to buy Tickets. When placing an order, you are entering into a binding contract with the Seller to purchase those Tickets. Additional terms communicated to you by the Seller may apply. Payment is remitted to VeraTicket and disbursed to the seller according to our User Agreement. All Sales are final. You cannot change or cancel any orders after the sale is complete.

Payments.

• Payments received from Buyers for Tickets purchased via the Site are processed by VeraTicket, through Stripe, on behalf of the Seller and credited to the Seller in accordance with the Seller Policies. Seller agrees that any payment made by Buyer to VeraTicket shall be considered the same as a payment made directly to Seller, and Seller will make the Tickets available to Buyer in the agreed-upon manner as if Seller had received the payment directly from Buyer. Seller understands that VeraTicket’s obligation to pay Seller is subject to and conditional upon successful receipt of the associated payments from Buyer. VeraTicket guarantees payments to Seller only for such amounts that have been successfully received by VeraTicket from Buyer. In accepting appointment as the limited payment collection agent of seller, VeraTicket assumes no liability for any acts or omissions of the Seller.
• Payments from Buyers are due and payable immediately. A Buyer can pay the full order amount which includes any applicable Service Fees and taxes using one of the accepted payment methods.
• A Buyer’s obligation to pay for a Ticket is satisfied when VeraTicket has received the Payment in full.
• Payment and Billing. When you make purchases through the Platform, including, without limitation, any purchase for (i) non-fungible tokens (“NFTs”), (ii) a one-off payment for any reason, or (iii) any additional product or service made available on or across the Platform for purchase, you must provide and maintain valid payment information (e.g., credit card number) in connection with your Account with us or with your third-party mobile application provider (e.g., Apple Store or Google Play Store). You represent and warrant that you are authorized to use the payment method you use via the Platform to make any purchase. You authorize us (or the provider of any subscription to which you subscribe) to charge your payment method for the total amount of your purchase (including any applicable taxes). Your order may be suspended or cancelled for any reason, including if the payment method cannot be verified, is invalid or is otherwise not acceptable.
• Payment Processing for Purchases. Payment processing services for any purchases made via the Platform are currently provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms of Service and continuing to operate an Account, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Company enabling payment processing services through Stripe, you agree to provide Company with accurate and complete information about you and/or your business, as applicable, and you authorize us to share such information and transaction details related to your use of the payment processing services provided by Stripe. For clarity, Stripe serves as our provider solely for processing payments in U.S. dollars in connection with purchases made by Users on the Platform.
• Pricing and Taxes. All prices are shown in U.S. dollars and do not include applicable taxes, unless we or the subscription provider states otherwise. You are responsible for any sales, use, value-added or other governmental taxes, fees or duties due with respect to your order. We or the applicable User making the purchased items available on the Platform may collect applicable taxes if we or such User determines there is a duty to collect them.
• In the event of an error, we reserve the right to correct the error and revise your order accordingly (which includes charging the correct price) or to cancel the order and refund any amount charged.
• FLOW Wallet. Each user will have a FLOW Wallet which will be setup VeraTicket as a Custodial Service. You can see your wallet address but you won’t will not have access to the private key.
• Account Security. You are responsible for the security of your account on the Site. Loosing you password may end up with loosing all your NFTs. If you become aware of any unauthorized use of your password or of your account with us, you agree to notify us immediately at support@veraticket.com.
• Account Transactions. VeraTicket does not own or control any third party site, product, or service that you might access, visit, or use for the purpose of enabling you to use the various features of the Platform. We will not be liable for the acts or omissions of any such third parties, nor will we be liable for any damage that you may suffer as a result of your transactions or any other interaction with any such third parties. You can use fiat to purchase, store, and engage in transactions using your credit/debit card. Transactions that take place on the Site are managed and confirmed via the Flow Network. You understand that your Flow Network public address will be made publicly visible whenever you engage in a transaction on the App.
• Acquiring NFTs. The App allows you to purchase, collect and showcase NFT tickets from the VeraTicket platform. Each ticket is an NFT on the Flow Network.
• Purchasing NFTs. You can purchase NFTs in two ways: (a) by buying tickets of Events from us on the Site; or (b) by buying NFTs from other users in the App’s marketplace (the “VeraTicket Marketplace”). If you buy an individual NFT from another user in the Marketplace, you will know the exact NFT that you are purchasing. We strongly encourage you not to purchase NFTs other than in the Veraticket Marketplace. If you decide to purchase NFTs in any other way, you understand that such purchases will be entirely at your sole risk.

Event Cancellations, Postponement and Other Event Changes.

• Cancellation: If an event is canceled and not rescheduled, we will remove the event and any listings related to the event from our Site and inform both Buyer and Seller about the cancellation with further instructions. If the Seller requires his Ticket(s) back to obtain a refund of the original purchase price from the promoter or organizer, he must contact Customer Service immediately after the cancellation. The Buyer is required to retain the Ticket(s) and upon request from VeraTicket to send them back to either the Seller or to VeraTicket (as instructed by VeraTicket). The Buyer will receive a full refund or credit for use on a future purchase, as determined in VeraTicket’s sole discretion (unless a refund is required by law) once the user has sent back the Ticket(s) (if applicable) and the Seller will not be paid. If the Seller has already been paid, the payment for the sale may be recovered by charging the Seller's Payment Method or by setting off this amount against pending payments for other Tickets the Seller has sold or will sell in the future.
• Postponement: If an event is postponed, VeraTicket will work with Buyers and Sellers on a case-by-case basis attempting to resolve any Ticket issues. Sellers are prohibited from reselling, invalidating or changing Tickets for postponed events. Refunds will not be issued for postponed events, unless they are ultimately canceled as stated above.
• Other event changes: VeraTicket is not responsible for partial performances, venue, line-up or time changes. No refunds will be issued in these instances.

Do Not Rely on VeraTicket.com.

• Opinions, advice, statements or other comments should not necessarily be relied upon and are not to be construed as professional advice from VeraTicket.com or VeraTicket. VeraTicket.com and VeraTicket do not guarantee the accuracy or completeness of any of the information provided, and are not responsible for any loss resulting from your reliance on such information.

Right to Monitor.

• VeraTicket.com and VeraTicket reserve the right, but are not obligated, to monitor materials posted in any public area and shall have the right to remove any information deemed offensive by our staff. Notwithstanding the foregoing, you remain solely responsible for your use of any information contained on the site. You are responsible for any activities that take place under your username and password. If you become aware of any unauthorized use of your password or account, or any other breach of security, please contact VeraTicket.com immediately. It is up to you to maintain the confidentiality of your password and account. VeraTicket.com is not responsible or liable for any loss or damage arising from your failure to comply with the provisions of this Agreement..

Confidentiality.

• It is agreed that all personal information given to VeraTicket.com or VeraTicket, will be kept confidential by VeraTicket.com and VeraTicket, with the following exceptions: (1) basic biographical information (i.e. age, sex, race) will be posted with your user ID for others to view; (2) you actively chose to post your personal information for others to see; (3) you send a message to another client, which will disclose your e-mail address to that client or (4) you have harassed another person via any service provided by VeraTicket.com, in which case the confidentiality clause contained in this Agreement is rendered null and void.
• Any passwords used for this website are for the Client’s individual use only. You will be responsible for the security of your password(s). From time to time, VeraTicket.com may require that you change your password. You are prohibited from using any services or facilities provided in connection with this website to compromise its security or tamper with any of its system, resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password crackers, rootkits, Trojan horses, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, the VeraTicket.com reserves the right to release your account details to system administrators at other websites and/or the authorities in order to assist them in resolving security incidents. Website reserves the right to investigate suspected violations of this Agreement. Website and VeraTicket reserve the right to fully cooperate with any law enforcement authorities or court order requesting or directing VeraTicket.com to disclose the identity of anyone posting any e-mail messages, or publishing or otherwise making available any materials that are believed to violate this Agreement.
• It is our policy to release a Client’s personal identifying information and any other information when we reasonably believe such disclosure is appropriate to comply with applicable law, to enforce any of our contracts or agreements, to protect the rights, property or safety of our users and customers, in response to a governmental authority request or legal process, or for purposes of fraud protection. By accepting this Agreement you waive all rights and agree to hold VeraTicket.com and VeraTicket harmless from any claims resulting from any action taken by VeraTicket.com during or as a result of its investigations and/or from any actions taken as a consequence of investigations by either VeraTicket.com or law enforcement authorities.

Ownership, Copyrights, Trademarks, Licenses..

• You acknowledge and agree that the website and any software or programs used with respect to any VeraTicket’s services contain proprietary and confidential information that is the property of VeraTicket and is protected by applicable intellectual property and other laws. No rights or title of to any of the proprietary and confidential information on VeraTicket.com or any software used in connection with any of its services is provided, transferred or assigned to you. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on any of Veraticket.com’s services or software, in whole or in part. Trademarks, service marks, logos, and copyrighted works appearing in VeraTicket.com are the property of the VeraTicket. VeraTicket.com retains all rights with respect to any intellectual property appearing on the website, and no rights in such materials are transferred or assigned to you. By posting information to VeraTicket.com and VeraTicket you represent that you have the right to grant permission for use by VeraTicket.com and VeraTicket. VeraTicket may own the Site Content or portions of the Site Content may be made available to VeraTicket through arrangements with third parties. Site Content included in or made available through the Services is the exclusive property of VeraTicket and is protected by copyright laws. You agree to use the Site Content only for purposes that are permitted by these Terms and any applicable local, state, provincial, national or other law, rule or regulation. Any rights not expressly granted herein are reserved.]
• License to Services. We grant you a limited, non-exclusive, non-transferable, non-sublicensable (except to sub-Users registered via the Services), revocable right to use our Services solely to browse the Services and search for, view, register for or purchase tickets or registrations to an event listed on the Services; and/or create event registration, organizer profile and other webpages to promote, market, manage, track, and collect sales proceeds for an event.
• . Your use of the Services must be in compliance with these Terms and in compliance with all applicable local, state, provincial, national and other laws, rules and regulations. In addition, by using any search functionality or address auto-population tools, you are bound by the Google Maps/Google Earth Additional Terms of Service (including the Google Privacy Policy).
• . Restrictions on Your License. Without limitations on other restrictions, limitations and prohibitions that we impose (in these Terms or elsewhere), you agree you will not directly or indirectly copy, modify, reproduce, translate, localize, port or otherwise create derivatives of any part of the Services; reverse engineer, disassemble, decompile or otherwise attempt to discover the source code or structure, sequence and organization of all or any part of the Services; rent, lease, resell, distribute, use the Services for other commercial purposes not contemplated or otherwise exploit the Services in any unauthorized manner; remove or alter any proprietary notices on the Services; or (e) engage in any activity that interferes with or disrupts the Services.

Trademarks.

• The trademarks, service marks and logos of VeraTicket (the "VeraTicket Trademarks") used and displayed in connection with the Services are registered and unregistered trademarks or service marks of VeraTicket. Other company, product and service names used in connection with the Services may be trademarks or service marks owned by third parties (the "Third Party Trademarks," and, collectively with VeraTicket Trademarks, the "Trademarks"). The offering of the Services will not be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed in connection with the Services without the prior written consent of VeraTicket specific for each such use. The Trademarks may not be used to disparage VeraTicket, any third party or VeraTicket's or such third party's products or services, or in any manner that may damage any goodwill in the Trademarks. Use of any Trademarks as part of a link to or from any site is prohibited unless VeraTicket approves the establishment of such a link by prior written consent specific for each such link. All goodwill generated from the use of any VeraTicket Trademark will inure to VeraTicket's benefit. Site Content may also be protected by copyrights owned by VeraTicket and/or third parties.

Use of Sub-domains.

• VeraTicket may provide you with the right to use a sub-domain within the Site (e.g., [sub-domain prefix].VeraTicket.com) for a given event. All such sub-domains are the sole property of VeraTicket and we reserve the right to determine the appearance, design, functionality and all other aspects of such sub-domains. In the event VeraTicket provides you with a sub-domain, your right to use such sub-domain will continue only for so long as your event is actively selling on the Services and you are in compliance with the Terms, including without limitation, these Terms of Service. If VeraTicket terminates your right to use a sub-domain for any other reason, it will provide you with a new sub-domain.]

Licenses and Permits Organizers Must Obtain.

• If you are an Organizer, without limiting the generality of any representations or warranties provided elsewhere in these Terms of Service, you represent and warrant to us that:
• You and your affiliates will obtain, prior to the start of ticket sales, all applicable licenses, permits, and authorizations (individually and collectively, "Licensure") with respect to events hosted by you or your affiliates on the Services. Licensure includes but is not limited to property operation permits and fire marshal permits.
• You and your affiliates will comply, and will ensure that the venues for each event hosted by you or your affiliates on the Services will comply, with all applicable laws, regulations, rules and ordinances.
• You will only request that VeraTicket offer tickets to an event after you have obtained any specific Licensures for such event, including, but not limited to, any state, county, municipal or other local authority's authorization of the event, traffic engineering authorizations, fire department inspection reports, authorization to receive minors (if applicable), sanitary authorization (if applicable), and any other potential applicable authorization; and you and your affiliates will maintain in force throughout the term of access to the Service the applicable Licensure for organizer to promote, produce, sponsor host and sell tickets for all events hosted by you or your affiliates on the Services.
• Without limiting the generality of any release provided under these Terms of Service, as a material inducement to VeraTicket permitting you to access and use the Services, you hereby agree to release VeraTicket, and its affiliates and subsidiaries, and each of its and their respective parent companies, subsidiaries, officers, affiliates, representatives, shareholders, contractors, directors, agents, partners and employees from all damages (whether direct, indirect, incidental, consequential or otherwise), losses, liabilities, costs and expenses of every kind and nature, including, without limitation, attorneys' fees, known and unknown, arising out of or in any way connected with your or your affiliates' Licensure, any failure to obtain or maintain any Licensure, or any error in obtaining or maintaining any Licensure.
• Without limiting your indemnification obligations elsewhere under these Terms of Service, you agree to defend, indemnify and hold VeraTicket, and its affiliates and subsidiaries, and each of its and their respective officers, directors, agents, co-branders, licensors, payment processing partners, other partners and employees, harmless from any and all damage (whether direct, indirect, incidental, consequential or otherwise), loss, liability, cost and expense (including, without limitation, reasonable attorneys' and accounting fees) resulting from any Claim due to or arising out of your or your affiliates' Licensure, any failure to obtain or maintain any Licensure, or any error in obtaining or maintaining any Licensure. You agree to provide evidence of Licensure and related information prior to offering tickets or registrations for events on the Site and promptly upon the reasonable request of VeraTicket from time to time.

No Warranties.

• VeraTicket.com and VeraTicket provide the VeraTicket.com services on an "as is" basis and do not make any warranty, express, implied, limited or other with respect to the services provided.
• THE USE OF VERATICKET.COM AND ANY SERVICE IT PROVIDES IS AT YOUR SOLE RISK. THE WEBSITE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VeraTicket.com EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VeraTicket.com MAKES NO WARRANTY THAT (1) THE SERVICES WILL MEET YOUR REQUIREMENTS, (2) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (3) THE RESULTS OF USING THE SERVICES WILL BE ACCURATE OR RELIABLE, (4) THE QUALITY OF SERVICES WILL MEET YOUR EXPECTATIONS, OR (5) THAT ANY ERRORS IN THE SOFTWARE UTILIZED BY THE SERVICES WILL BE CORRECTED.

Jurisdiction.

• This Agreement or any dispute arising from this Agreement is governed by the laws of the State of Maryland, without regard to provisions of conflicts of law.

Arbitration..

• Any dispute, controversy or claim arising out of or related in any manner to this Agreement which cannot be amicably resolved by the parties shall be solely and finally settled by arbitration administered by the American Arbitration Association in accordance with its commercial arbitration rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall take place before a panel of one arbitrator sitting in Maryland. The language of the arbitration shall be English. The arbitrators will be bound to adjudicate all disputes in accordance with the laws of the State of Maryland. The decision of the arbitrators shall be in writing with written findings of fact and shall be final and binding on the parties. Jurisdiction.
